- Software Sales and Support Terms:
=> In this section the words “Company” or “Our” represent “Jupiter Systems”. Any alteration in this form should be attested by our representative’s signatures, failing which will render this form being cancelled. Any of the changes required in the software, will be accepted as recommendation only, implementation or completion of such is not committed.
=> Charges mentioned on the face include maintenance charges for software for the period of one year only, as specified by contract periods. Part of maintenance in the supplied software may be provided free, only as per our sole discretion and conveniences. Maintenance will be provided at the earliest, except under certain unavoidable circumstances.
=> License once issued will not be transferred to any business/party name/computer system(s) other than the specified on order form.
=> The User/Licensee needs to acquire license from Jupiter Systems on annual basis. Jupiter Systems reserves the right to deny license to any use/licensee in case of non-payment of Annual Maintenance Charges (AMC) or non willingness to continue the software implementation by Jupiter Systems.
=> No responsibility will be owned by us in case of virus problems/data loss or technical problem arising out of hardware faults. In case of any data lost, customer has to provide us latest running data backup and software set to start software. The company provides support for each business as specified on order form.
=> Full payment should be made in advance towards the confirmation of the order. The company reserves full rights to reject order, not to provide changes/maintenance, terminate contract, or uninstall the software in the event of non receipt of full payment of the software, without refund of payment received, at any time after software installation, without issuing any notice for the same.
=> The Company reserves full rights to impose or relax any terms/conditions at any time, without prior notice. Any such changes or amendments will come into effect immediately and the singing party will have to abide with it.
=> The installation/maintenance for software at any other place/office/computer/business/of the signing party will be charges extra, depending upon the nature of the requirement/contract and services support requirement. Annual maintenance charges will be levied in full as per the prevailing charges for each such installation.
=> The company disowns any liability for software(s) found/installed on other than the signing party’s computer systems(s).
=> Upon the completion of maintenance period, maintenance will be discontinued immediately if the maintenance subscription is not renewed for next one year, by paying in advance, for the changes, as agreed upon at the time of order placement.
=> It is compulsory to make AMC contract. AMC mentioned is applicable for immediate one year after the end of AMC period. AMC charges are subject to change.
=> AMC doesn’t cover any new requirements other than provided/discussed at the time of order confirmation, training or client visit.
=> No work shall be undertaken on Sunday, Jupiter Systems’ holiday and beyond office hours for company except prior intimation.
=> In case any problems, if any, are detected then it shall be solved online only. The customer shall provide full and free access to systems to provide service thereon.
=> Any visit at your premises will be chargeable.
=> Subject to Surat jurisdiction.
