Terms & Conditions
1. Order value mentioned on the order form include software charges and a maintenance charges for software for the period of one year only, as specified by contract periods.
2. Full payment should be made in advance towards the confirmation of the order/AMC/changes/new requirements. The company reserves full rights to reject order, not to provide changes/maintenance, terminate contract, or uninstall the software in the event of non receipt of full payment of the software, without refund of payment received, at any time after software installation, without issuing any notice for the same.
3. Any of the changes required in the software, will be accepted as recommendation only, implementation or completion of such is not committed.
4. License once issued will not be transferred to any business/party name/computer system(s) other than the specified on order form.
5. The User/Licensee needs to acquire license from Jupiter Systems on annual basis. Jupiter Systems reserves the right to deny license to any user/licensee in case of non-payment of Annual Maintenance Charges (AMC) or non willingness to continue the software implementation by Jupiter Systems.
6. It is compulsory to pay AMC. AMC charge mentioned is applicable for immediate one year after the end of AMC period and is subject to change.
7. Upon the completion of AMC period, Service will be discontinued immediately, if the AMC subscription is not renewed for next one year, by paying in advance, for the changes, as agreed upon at the time of order placement.
8. AMC charge does not cover any new requirements, training or client visit.
9. The Company reserves full rights to impose or relax any terms/conditions at any time, without prior notice. Any such changes or amendments will come into effect immediately and the singing party will have to abide with it.
10. The installation/maintenance for software at any other place/office/computer/business/of the signing party will be charged extra, depending upon the nature of the requirement/contract and services support requirement. Annual maintenance charges will be levied in full as per the prevailing charges for each such installation.
11. The company disowns any liability for software(s) found/installed on other than the signing party's computer system(s).
12. No responsibility will be owned by us in case of virus problems/data loss or technical problem arising out of hardware faults. In case of any data loss, customer has to provide us latest running data backup set to start software. The company will provide support for each business as specified on order form.
13. The customer shall provide full and free access to their systems to provide service thereon.
14. No work shall be undertaken on Sunday, Jupiter Systems holiday and beyond office hours for company except prior intimation.
15. Payment should be made in favour of the issued firm name by A/c. Payee's cheque, RTGS or NEFT only.
16. Subject to Surat jurisdiction only.
Development, deployment and support
- The application development will commence after complete requirements will be provided to us through mails by you which are discussed and commercial processed for this order. Development and implementation time will be decided after complete requirement analysis.
- The development will be done at our premises and on completion and testing, we shall deploy it at your premise.
- We will visit at your premises for deployment and implementation of the application in your presence. In case any problems, if any, are detected then it shall be solved online only. Thereafter any visit at your premises will be chargeable.
- To check and resolve your problem, you have to provide us AnyDesk or TeamViewer as remote support. We cannot solve all problems remotely. In such cases we will need SQL data backup to check problem at our office.
Scope of Software AMC
- It is compulsory to make AMC for software and each year it has to be renewed.
- AMC charges are payable in advance.
- AMC charges are for a period of one year commencing from the date of software implementation.
- You will get a license for a year to use software on payment of AMC.
- AMC charges are subjected to change without any prior intimation.
- AMC Covers:
- Re-installation of software in case of problem in server
- Re-installation of SQL server
- Support for minor corrections/ changes in existing functionality.
- Error(s) raised in existing application.
- Any software related issues.
- AMC don’t Cover:
- Any additional or new requirements.
- Out of way corrections/changes.
- Any training session.
- Any plant visit.
Third Party Software Requirements
- We are not providing any other licensed product other than our application. Ours is a SQL based application. You will have to purchase the latest MS SQL server package if you require to have the licensed copy of the same. If you have a license version, you may provide us the SQL server instance.
- We are using the MS SQL Express edition, provided freely by Microsoft. The edition is free but with some restrictions like database size limitation, support, etc.
- Bullzip PDF Printer is FREEWARE with limitations, which means that there is a FREE version for personal and commercial use up to 10 users. It does not contain any advertising or popups. For commercial applications with more than 10 users there are commercial versions available with advanced features. FREE PDF Printer (bullzip.com)
- We don’t provide any hardware & networking support. For checking hardware related problems, you have to provide us your hardware resources to check the problem thoroughly.
